JOLLY CHEF AFFILIATE PROGRAM — TERMS & CONDITIONS

Welcome to the Jolly Chef Affiliate Program (“Program”). By applying to and/or participating in the Program, you (“Affiliate”) agree to the terms below with Jolly Chef (“we,” “us,” “our”). GoAffPro is our tracking provider and is not a party to these terms.

• Apply through our official registration form and provide accurate info (name, email, site/handles, payout details).
• We may approve or reject applications at our sole discretion (e.g., illegal, hateful, adult content, IP infringement, spam).

• Promote Jolly Chef honestly—no false, misleading, or unsubstantiated claims.
• Comply with all applicable laws and platform rules, including FTC Endorsement Guides (clear & conspicuous disclosure such as “#ad” / “affiliate link”), CAN-SPAM / TCPA for email/SMS, and privacy laws (GDPR/CCPA) where applicable.
• No spam, cookie stuffing, forced clicks, adware, or hidden iframes.
• Paid Search: No bidding on our brand terms or misspellings, including: “Jolly Chef”, “JollyChef”, “jollychef.com” and variations. No using our brand in ad copy/display URL.
• Coupons/Deals: Posting on generic coupon aggregators is allowed only if pre-approved. Unapproved coupon posting may forfeit commissions.
• Email/SMS promotions require lawful consent and an opt-out.
• Social & Content: Do not impersonate Jolly Chef or imply employment/agency. Clearly identify yourself as an independent affiliate.
• Pricing: Do not misstate pricing, “limited time” claims, or guarantees.
• Geos: We mainly serve the U.S.; if you promote to other regions, ensure content, shipping, and legal claims are accurate for that market.

• We grant a limited, revocable, non-exclusive license to use our approved logos, images, and copy (“Materials”) solely to promote Jolly Chef while you’re in the Program.
• Do not modify logos, register domains/social handles containing our marks, or create confusingly similar branding.
• We may ask you to remove content that misuses our IP or is off-brand.

• Use your GoAffPro special link and/or assigned coupon code.
• Cookie window: 30 days from the first qualified click.
• Attribution order (if multiple affiliates are involved):
  a. Valid assigned coupon code used at checkout;
  b. Last-click special link within the cookie window.
• Self-referrals are prohibited. Orders you place for yourself, family, or your company do not earn commissions.

• Base commission: 10% of net order value (excluding taxes, shipping, discounts).
• We may set different rates for specific products/campaigns (announced in writing in your dashboard or email).
• Exclusions/Adjustments: no commissions on canceled, refunded, or fraud-screen-failed orders; we may reverse commissions if an order later refunds/chargebacks within 30 days after payout.

• Schedule: Commissions are paid once per month, typically within the first 10 business days of the following month, after a validation period of up to 30 days to confirm completed and non-refunded orders.
• Minimum payout threshold: USD $50 (balances under this amount roll over to the next month).
• Payment method: All payments are made manually via bank transfer to the payout details provided in your affiliate account.
• Payment responsibility: Bank transfer or intermediary transaction fees are borne by the affiliate unless otherwise stated.
• Verification: You must ensure your banking details are accurate and up to date. Jolly Chef is not responsible for failed or delayed payments caused by incorrect bank information.
• Tax compliance: For reporting and compliance, we may request W-9 (U.S.) or W-8BEN (non-U.S.) forms before payouts. Where required by law, we may withhold or deduct taxes in accordance with applicable regulations.
• Currency: All commissions are calculated and paid in U.S. dollars (USD).

• Bidding on brand terms, trademark misuse, domain squatting.
• Spam, undisclosed endorsements, buying fake traffic, incentivized clicks, or “cash-back”/loyalty schemes without our written approval.
• Posting unassigned coupon codes or “click to reveal” dark patterns that force a store visit.
• Using “Jolly Chef” assets in a way that implies official partnership beyond this program.

• Health/safety/eco/environmental claims must match our official product statements.
• Do not compare competitors with false or unverifiable claims.
• If you create your own creatives, you are responsible for accuracy and rights (music, images, fonts).

• We may review your channels at any time for compliance.
• We may withhold/adjust unpaid commissions during investigations.
• We may notify platforms or take legal action in case of abuse.

• Either party may terminate at any time for any reason by notice.
• Upon termination you must remove all links/materials and stop representing yourself as an affiliate.
• We may withhold commissions for a reasonable period to account for returns/fraud.

• We may update these terms or commission schedules; changes take effect upon posting in your dashboard or email notice. Continued participation = acceptance.

• Treat non-public info (rates, performance data, private briefs) as confidential.
• You may not collect or process our customers’ personal data beyond what platforms lawfully provide; any data you process must comply with applicable privacy laws. No installing pixels/cookies on our site.

• Independent contractors. No partnership, employment, agency, or franchise is created.

• To the maximum extent permitted by law, we are not liable for indirect or consequential damages; our aggregate liability shall not exceed commissions paid to you in the 12 months preceding the event.

• These terms are governed by the laws of the State of Delaware, USA (conflict rules excluded).
• Courts located in Delaware shall have exclusive jurisdiction.
